ACCEPTANCE OF THESE TERMS

These Terms & Conditions govern the use of the Gem Wooden Masters website and, where expressly incorporated into a quotation, order confirmation, project agreement or other written transaction document, may also govern the relevant supply of goods or services by Gem Wooden Masters.

By using this website, submitting an enquiry, requesting a quotation, placing an order or engaging Gem Wooden Masters for a project, you acknowledge that you have had an opportunity to review the terms applicable to the relevant transaction.

Where a signed quotation, project agreement, purchase order or other written agreement contains terms that specifically apply to a transaction, those transaction-specific terms should be read together with these website terms. Where there is a conflict, the applicable written transaction agreement should govern to the extent permitted by law.

ABOUT OUR SERVICES

  • Furniture craftsmanship and custom furniture.
  • Carpentry and furniture-related construction work.
  • Furniture repair.

  • Furniture projects for homes, offices and businesses.
  • Furniture built from scratch or based on customer requirements, measurements, references or designs.

The exact service, specification, materials, quantity, finishing, installation, delivery and other requirements for a project will depend on the quotation or other written agreement applicable to that project.

WEBSITE INFORMATION AND QUOTATIONS

Information on this website is provided to help customers understand Gem Wooden Masters and its services. Website descriptions, photographs, examples and general information should not automatically be treated as a fixed quotation or contractual specification.

A quotation should be treated as the applicable commercial proposal only when it has been issued by or on behalf of Gem Wooden Masters. A quotation may specify the relevant furniture/service, dimensions, materials, finishing, quantity, price, delivery or installation arrangements and other applicable conditions.

A customer should review a quotation carefully and raise any errors, omissions or requested changes before approving the work.

PRICING AND CHANGES

Custom furniture and project pricing may depend on factors including material selection, dimensions, design complexity, hardware, upholstery, finishing, labour, quantity, installation, delivery and customization.

Where the customer’s requirements change after quotation or approval, Gem Wooden Masters may need to review the price, specification and/or completion arrangements before proceeding with the changed requirement.

No additional charge should be treated as agreed merely because a change was discussed informally. Where a change affects the agreed price or scope, the parties should confirm the revised arrangement in writing.

MEASUREMENTS, SPECIFICATIONS AND CUSTOMER INFORMATION

Customers are responsible for providing accurate information when measurements, dimensions, reference images, designs, quantities, room information or other specifications are supplied by the customer.

Where Gem Wooden Masters is responsible for taking or confirming measurements, the applicable project arrangement should identify the measurements relied upon before production begins.

Customers should disclose relevant access limitations, staircases, door sizes, installation conditions, electrical/plumbing constraints or other site conditions that may reasonably affect delivery or installation

DESIGN APPROVAL AND CUSTOM WORK

Custom furniture may be made according to customer requirements, approved drawings, measurements, reference images, samples or other agreed specifications.

Customers should review and approve the final agreed specification before production begins. Once production has started, changes may affect cost, materials, production time or the ability to modify the work.

Where natural timber, wood grain, upholstery fabric, colour, stain, finishing or other materials have natural variation, the final appearance may not be identical to a reference photograph or digital image.

MATERIALS

The materials to be used should be identified in the quotation, specification or project agreement where the material is material to the customer’s decision.

If a specified material becomes unavailable, materially changes in price or cannot reasonably be obtained, Gem Wooden Masters should discuss the available alternatives with the customer before making a material change to an approved specification, subject to the terms of the relevant transaction.

CUSTOMER-SUPPLIED MATERIALS OR ITEMS

Where a customer supplies timber, fabric, fittings, hardware, foam, furniture components, appliances or other materials/items, the customer remains responsible for ensuring that the supplied item is suitable for the intended purpose unless a different responsibility is expressly agreed.

Gem Wooden Masters should identify any obvious suitability issue that it becomes aware of before using the supplied material/item, but the business cannot be treated as guaranteeing the quality, authenticity, durability or compatibility of a customer-supplied item unless expressly agreed.

DEPOSITS, PAYMENTS AND BALANCES

Payment terms, including any deposit, progress payment, balance, payment method and due dates, should be stated in the applicable quotation or project agreement.

Because Gem Wooden Masters has not supplied a universal deposit percentage or standard payment schedule for this website, this document does not create a fixed deposit percentage or payment timetable.

A customer should retain payment records, receipts, invoices, quotations and other transaction documents.

 PRODUCTION

Production should proceed according to the approved specification and the applicable project arrangement.

Customers should provide approvals or decisions reasonably required for production without unnecessary delay. Where a customer’s delay in providing information, materials, approvals, access or other requirements affects the project, the resulting impact should be discussed between the parties.

COMPLETION, COLLECTION, DELIVERY AND INSTALLATION

Where collection, delivery or installation is offered for a project, the applicable quotation or project agreement should state the relevant arrangement and any associated charge where applicable.

Delivery arrangements may depend on location, furniture size, access, transport requirements and other practical factors. Customers should provide accurate delivery information and disclose relevant access limitations.

Installation should only be treated as included where the quotation or project agreement expressly states that installation is included.

Where collection is agreed, the customer should make reasonable arrangements to collect the completed item at the agreed time or as otherwise communicated.

DELIVERY DELAYS AND UNFORESEEN CIRCUMSTANCES

Project and delivery dates may depend on material availability, customer approvals, site access, transport, third-party suppliers and other circumstances outside the reasonable control of either party.

If an unavoidable delay becomes known, Gem Wooden Masters should communicate the relevant information to the customer as reasonably practicable. No specific delivery guarantee is created by these website terms unless a written transaction agreement expressly provides one.

REPAIRS

For repair work, the condition of the item, its construction, previous repairs, hidden defects, age, materials and intended use may affect the scope and outcome of the work.

A repair quotation may therefore be based on visible information and may need revision if additional damage or hidden issues become apparent after dismantling or during the repair process.

Where a repair cannot reasonably be completed without additional work, the customer should be informed before material additional work or cost is incurred, subject to the urgency and circumstances of the job.

UPHOLSTERY

For upholstery projects, customers should confirm fabric, colour, texture, pattern, foam or filling requirements and other relevant specifications before work begins.

Fabric and other upholstery materials can vary in appearance depending on lighting, batch, texture, pattern direction and other characteristics. Where a customer supplies fabric, the customer should ensure that sufficient material is supplied and that it is suitable for the intended application.

CANCELLATIONS AND MODIFICATIONS

Cancellation and modification terms should be stated in the applicable quotation or project agreement, especially for custom-made items where production or procurement may already have started.

Customers should contact Gem Wooden Masters as soon as possible if they wish to cancel, change or pause an order.

Any refund, deduction, cancellation charge or treatment of materials already purchased should be handled according to the applicable agreement and applicable Nigerian law. This website document does not create a universal cancellation fee or refund percentage.

CUSTOMER INSPECTION AND ACCEPTANCE

Where practical, customers should inspect completed furniture or project work at collection, delivery or another agreed inspection point and raise any visible issue promptly.

Inspection does not remove any rights or obligations that cannot lawfully be excluded under applicable Nigerian law.

WARRANTIES, GUARANTEES AND IMPLIED RIGHTS

Gem Wooden Masters should only advertise or provide a specific warranty or guarantee where the relevant warranty or guarantee has actually been offered in writing.

These website terms do not create a fixed warranty period because no universal warranty period has been supplied for this project.

Nothing in these Terms & Conditions is intended to exclude or remove a consumer right, statutory protection or legal obligation that cannot lawfully be excluded or limited.

The FCCPC states that Nigerian consumer-protection rules include rights concerning fair dealings, accurate information, product/service quality and remedies. The final business terms should therefore be reviewed for compliance with applicable consumer-protection requirements.

PRODUCT AND SERVICE INFORMATION

Gem Wooden Masters will aim to provide information about its services and products accurately. Customers should rely on the specific quotation, approved specification and transaction documents for the details of a particular order or project.

The website should not be used to make claims about awards, certifications, branches, production capacity, partnerships, years of experience, testimonials or other credentials that have not been verified.

INTELLECTUAL PROPERTY AND CUSTOMER DESIGNS

Website text, original graphics, photographs, branding, logos and other content belonging to Gem Wooden Masters may not be reproduced, copied, republished or commercially exploited without appropriate permission, except where permitted by law.

Where a customer supplies a design, drawing, photograph, reference or other material, the customer should ensure that they have the right to provide it for the intended project.

The parties should agree separately where ownership or permitted use of custom drawings, designs, technical documents or other project-specific intellectual property is important to a transaction.

PHOTOGRAPHS AND PROJECT DOCUMENTATION

Gem Wooden Masters may photograph completed work for internal records where appropriate. Any public use of customer property, identifiable people, private premises or confidential project information should be handled with appropriate permission and in accordance with applicable privacy requirements.

Customers who do not want a completed project photographed or used for marketing should communicate that preference clearly before photography or publication.

THIRD-PARTY SUPPLIERS

Some projects may involve materials, fittings, transport providers or other third-party suppliers. Where a third party is involved, the applicable quotation or project agreement should identify material third-party dependencies where relevant.

Third-party delays or failures may affect project timing. Gem Wooden Masters should communicate material impacts to the customer and work toward a practical resolution.

LIMITATION OF LIABILITY

Nothing in these Terms & Conditions limits liability for matters that cannot lawfully be limited or excluded, including liability arising from fraud or other circumstances where limitation is prohibited by applicable law.

Any limitation or allocation of responsibility for a particular project should be stated clearly in the relevant transaction agreement and brought to the customer’s attention before the transaction is concluded.

The final wording of this section should be reviewed by a qualified Nigerian legal professional before publication.

COMPLAINTS AND RESOLUTION

If a customer has a concern about a product or service, the customer should first contact Gem Wooden Masters using the contact details below and provide sufficient information to identify the transaction, item or project.

Where a complaint cannot be resolved directly, the customer retains any rights and remedies available under applicable Nigerian law. The FCCPC provides consumer complaint and redress mechanisms for qualifying consumer matters.

GOVERNING LAW

These website Terms & Conditions are intended to be governed by the laws applicable in the Federal Republic of Nigeria, subject to any mandatory consumer protections or other applicable laws.

For a specific commercial transaction, the parties may include additional dispute-resolution provisions in the quotation, project agreement or other written contract. Any such provision should be reviewed by a qualified Nigerian legal professional before use.
